Terms of Service
Last updated
In short: These terms are the agreement between your business and us when you use Open Motives. You own your content and are responsible for how you use it, including following the rules of each network you connect, like Meta, WhatsApp and TikTok. Plans are billed per workspace, not per seat, and you can cancel any time. AI features can make mistakes, so review what matters before it goes out. We work hard to keep Open Motives running, but we can’t guarantee it will never be interrupted, and our liability is limited as set out below.
About these terms
These Terms of Service (“Terms”) are a contract between Open Motives, of the registered address available on request from [email protected] (“Open Motives”, “we”, “us”), and the business or organisation that uses Open Motives (“Customer”, “you”). They apply from 28 October 2026.
They cover our website, the app, the client portal, our REST API and MCP server, and related services (the “Service”).
By creating an account or using the Service, you agree to these Terms and confirm you have authority to bind your organisation. A separate signed agreement with us takes priority where it conflicts with these Terms.
The Acceptable Use Policy and, where we process personal data for you, the Data Processing Addendum form part of these Terms. Our Privacy Policy explains how we handle personal data as a controller.
Open Motives is a business service. You must be at least 18 and using it for your trade, business or profession.
Accounts and workspaces
Your account
Give us accurate information and keep it up to date. Keep your password and two-factor codes safe and don’t share log-ins. You are responsible for activity under your account and workspaces. Tell us at [email protected] straight away if you think someone has accessed them without permission.
Organisations, workspaces and users
An organisation can hold several workspaces, for example one per brand or client, each with its own connected accounts, contacts, content and settings. You decide who joins, their role and which accounts they can use. You are responsible for the people you invite, including reviewers and clients using the portal or a review link.
Agencies
If you manage social media for your own clients, you are our customer and you are responsible for having the right to connect your clients’ accounts and handle their data. You may use your own brand across the app, portal, emails and reports, and you remain responsible to your clients for your services.
Plans, trials and billing
Plans
We offer a Free plan and a Pro plan, described on our Pricing page. Each plan has limits, such as the number of connected accounts, workflows, contacts and team members. Plans are priced per workspace, not per seat. If you go over a limit, we may ask you to upgrade or reduce usage before you can add more.
Free trial
New Pro workspaces can start with a 14-day free trial. We’ll remind you before the trial ends. If you have added a payment method, the workspace moves to paid Pro when the trial ends. If you haven’t, it returns to the Free plan and anything over the Free limits is paused, not deleted, until you upgrade or reduce usage. One trial per workspace, and we may refuse trials that look like abuse.
Payment
Paid plans are billed in advance each month, or for any other period shown at checkout, through our payment processor. You authorise us to charge your payment method on each renewal until you cancel. If a payment fails and stays unpaid, we may downgrade or suspend the workspace.
Taxes
Prices do not include taxes unless we say so. You are responsible for any VAT, sales, use or similar taxes, other than taxes on our income. Where we have to collect them, we will add them to your invoice. If you give us a valid tax or VAT number, we will apply any reverse charge that applies.
Price changes
We’ll give you at least 30 days’ notice of a price change, which then applies from your next renewal. If you don’t agree, you can cancel before it takes effect.
Cancellation and refunds
You can cancel a paid plan at any time in your billing settings. Cancellation takes effect at the end of your current billing period, and the workspace then moves to the Free plan. Fees are not refundable, including for partly used periods, except where the law requires otherwise or we say so in writing.
AI usage costs
If you bring your own AI key, the AI provider bills you directly for that usage under your agreement with them. If your plan includes AI credits, they are subject to the limits shown in the app and can’t be exchanged for cash.
Acceptable use
You must use the Service lawfully and in line with our Acceptable Use Policy. In particular, don’t use Open Motives to send spam, harass anyone or break the rules of the networks you connect.
Your content
Ownership
“Customer Content” means everything you or your users put into the Service or receive through it: messages, contacts, posts, media, knowledge base files, workflows, settings and similar material. You keep all rights in your Customer Content. We don’t claim ownership of it.
Licence to us
You give us a worldwide, non-exclusive, royalty-free licence to host, copy, process, transmit and display Customer Content only as needed to provide, secure and support the Service, follow your instructions (such as publishing a post) and comply with law. It ends when the content is deleted, apart from backups that expire on their normal cycle.
Your responsibilities
You confirm you have all rights and consents needed for your Customer Content and for us to process it under these Terms, including consent from people you message where the law or a network requires it. You are responsible for its accuracy and legality.
Personal data
Where we process personal data in Customer Content on your behalf, the Data Processing Addendum applies and forms part of these Terms.
Feedback
If you send us ideas or suggestions, we may use them without any obligation to you.
Aggregated data
We may use usage data in aggregated or de-identified form, which doesn’t identify you, your users or your contacts, to run, secure and improve the Service.
Third-party platforms and integrations
Open Motives connects to services we don’t control, such as Meta (Facebook, Instagram, Messenger and WhatsApp), Telegram, TikTok, YouTube, LinkedIn, X, Threads, Bluesky, email and SMS providers, AI providers, and apps such as Shopify, WooCommerce, HubSpot, Google Sheets, Slack and Microsoft Teams (“Third-Party Services”).
- Their rules apply. When you connect a Third-Party Service you must follow its terms and policies, for example the WhatsApp Business Messaging Policy, Meta Platform Terms, TikTok’s terms and YouTube’s Terms of Service. If a network restricts, rate-limits or bans your account or number because of how you used it, that’s between you and the network.
- They can change. Networks change their APIs, permissions, pricing and policies, sometimes with little notice. We’ll work to keep features working, but we aren’t responsible if a feature changes, is limited or stops working because of a Third-Party Service. Features marked “coming soon” depend on approval from the network and may not arrive.
- Their charges. Some networks charge for their services, such as WhatsApp conversation fees or SMS costs. You are responsible for those charges unless we say otherwise.
- Unofficial connections. Some connections, such as linking WhatsApp by QR code, rely on the network’s consumer features rather than its business API. They can be less reliable and carry a higher risk of the network limiting your number. You use them at your own risk.
- Their terms. We don’t control Third-Party Services, and your use of them is governed by your agreement with their provider.
AI features
Open Motives includes optional AI features, such as the AI Employee, Copilot, drafting, summaries and sentiment detection.
- Outputs can be wrong. AI can produce answers that are inaccurate, incomplete, out of date or inappropriate. Outputs are suggestions, not advice. You are responsible for reviewing outputs and for what is sent or published from your workspace.
- Keep people in the loop. You choose whether each AI Employee replies on its own or drafts for approval, and which conversations it hands off to a person. Write actions on connected apps always wait for a teammate’s approval, and what you approve is exactly what runs. We recommend human review for anything sensitive, regulated or high-stakes.
- Be open about it. Where the law or a network’s rules require it, tell people when they are talking to an automated system.
- Providers. AI requests go to the provider you choose, and with your own key your agreement with that provider also applies. We don’t use your content to train AI models.
- Rights in outputs. As between you and us, you own the outputs generated for you, subject to the provider’s terms. Similar outputs may be generated for other customers.
API and MCP server
We provide a REST API and an MCP server so you and your AI assistants can work with your workspace.
- API keys are scoped to a workspace and the accounts you choose. Keep them secret, and rotate them if you think one has leaked. You are responsible for all activity using your keys, including actions taken by AI agents or tools you connect.
- Follow our developer documentation and any rate limits. Don’t try to get around limits, access data you aren’t authorised to, or use the API to build a competing product.
- We may change or retire API endpoints and MCP tools, with reasonable notice where a change is likely to break integrations.
- Custom MCP servers and webhooks you connect are Third-Party Services.
Our intellectual property
We and our licensors own the Service, including the software, documentation and Open Motives brand. We give you a limited, non-exclusive, non-transferable right to use it during your subscription. You must not copy, reverse engineer or resell it, except as the law allows.
Confidentiality
Each of us may receive non-public information from the other, such as pricing, security details or Customer Content (“Confidential Information”). The receiving party will use it only to perform under these Terms, protect it with reasonable care, and share it only with people who need to know it and are bound by similar duties.
This doesn’t apply to information that is or becomes public through no fault of the receiving party, was already known to it, is independently developed, or is lawfully received from someone else. A party may disclose Confidential Information if the law requires it, after giving notice where allowed.
Availability and support
We work to keep Open Motives available and reliable, but we don’t promise it will be uninterrupted or error-free, and we’ll try to schedule maintenance to minimise disruption. Unless we’ve agreed one in writing, there is no service level agreement and no service credits.
Support is available at [email protected]. We may change features over time, and we’ll tell you in advance if we remove a core feature of a paid plan.
Suspension and termination
By you
You can stop using the Service and close a workspace or your account at any time from your settings.
By us
We may suspend or limit access to a workspace, account or feature, without prior notice where it’s urgent, if:
- you break these Terms or the Acceptable Use Policy
- your use creates a security risk, could harm us, other customers or third parties, or risks our access to a network’s API
- payment is overdue
- the law or a network requires it
Where possible we’ll tell you why and give you a chance to fix the issue. We may end these Terms on 30 days’ notice for any reason, refunding prepaid fees for the unused period, or immediately if you seriously or repeatedly break them.
What happens next
When an account or workspace closes, your right to use it ends. Export your data before closing. We then delete Customer Content as described in our Privacy Policy and the DPA. Sections that by their nature should survive, such as fees owed, confidentiality, liability, indemnity and governing law, will survive.
Disclaimers
Except as expressly stated in these Terms, and to the extent the law allows, the Service is provided “as is” and “as available”. We disclaim all implied warranties, including of merchantability, fitness for a particular purpose, satisfactory quality and non-infringement. We don’t guarantee any particular results, such as reach, engagement, sales or response rates.
Limitation of liability
Nothing in these Terms limits liability that can’t be limited by law, such as for death or personal injury caused by negligence, or for fraud.
Subject to that:
- Neither party is liable for any indirect or consequential loss, or for loss of profits, revenue, goodwill or data, however it arises.
- Each party’s total liability arising out of or relating to these Terms in any 12-month period is limited to the fees you paid us for the Service in the 12 months before the event giving rise to the claim. If you use only the Free plan, our total liability is limited to US$100.
These limits do not apply to your obligation to pay fees or to your indemnity below.
Indemnity
You will defend and indemnify us, our affiliates and our staff against claims, losses and costs (including reasonable legal fees) brought by a third party arising from your Customer Content, your use of Third-Party Services, or your breach of these Terms or the Acceptable Use Policy. We will tell you promptly about the claim, let you control the defence, and give reasonable help at your cost.
Governing law and disputes
These Terms, and any dispute arising from them, are governed by the laws of England and Wales. The courts of that jurisdiction have exclusive jurisdiction, although either party may seek urgent injunctive relief in any court. Before starting proceedings, please contact [email protected] so we can try to resolve the issue informally.
General
- Changes to these Terms. We may update these Terms. For material changes we’ll give at least 30 days’ notice by email or in the app. If you keep using the Service after the change takes effect, you accept the new Terms. If you don’t agree, you can cancel before then.
- Assignment. You may not transfer these Terms without our consent. We may transfer them as part of a merger, acquisition or sale of assets.
- Force majeure. Neither party is liable for delays caused by events beyond its reasonable control, other than payment obligations.
- Notices. We’ll send notices to your account email. Send yours to [email protected].
- Entire agreement. These Terms and the policies they refer to are our whole agreement about the Service. If any part is unenforceable, the rest still applies, and not enforcing a right doesn’t waive it.
- No third-party rights. Only you and we can enforce these Terms.
